SUBSCRIPTION AGREEMENT

Confidential — This agreement is provided to the prospective investor for completion and review.

To: Halewick Direct Lending GP LLC, as general partner of Halewick Direct Lending Fund I, L.P.

The undersigned submits this Subscription Agreement in connection with a proposed investment in the Fund, subject to the terms, conditions, representations, and acknowledgements set out below.

1. Subscription for an interest +

The undersigned investor applies to purchase a limited partnership interest in Halewick Direct Lending Fund I, L.P. (the “Fund”) in the amount set out on the signature page. This subscription is subject to acceptance by the General Partner.

2. Acceptance and funding +

A subscription is accepted only when countersigned by the General Partner. Funding instructions will be delivered separately through a verified channel after acceptance. The investor must not rely on payment instructions received through an unverified communication.

3. Investment purpose +

The investor confirms that it has had access to the offering materials, has had the opportunity to ask questions, and is making an independent investment decision.

4. Risk factors and transfer restrictions +

An investment in the Fund is speculative and illiquid. The investor may lose all or a substantial portion of the investment. Interests are subject to transfer restrictions and no public market is expected to develop.

5. Investor representations +

The investor represents that the information provided is complete and accurate, that it has authority to enter into this agreement, and that the investment is suitable in light of its circumstances and advice obtained from independent advisers.

6. General terms +

This agreement binds the investor and its successors and permitted assigns. The governing agreement and applicable law control in the event of any conflict.

Signature page +

The undersigned executes this Subscription Agreement and, upon acceptance by the General Partner, agrees to be bound by the governing partnership agreement.
